Bumrungrad Hospital Public Company Limited understands the importance of good corporate governance and the need to treat shareholders equitably. The Company, therefore, provides the opportunity for shareholders to propose issue which are important and appropriate for inclusion as an agenda item in the Company's annual general meeting of shareholders (AGM), and in nominating candidates with appropriate knowledge, ability and qualifications as directors of the Company. Such proposals/nominations should be made in advance of the AGM so that the Board of Directors has sufficient time to consider the same and incorporate such proposals/nominations as agenda items in the AGM as appropriate.
Shareholders who wish to propose issues as agenda items for the general meeting or nominate candidates for election as director(s) of the Company must be a shareholder or shareholders collectively hold not less than five (5) percent of the total number of voting rights of the Company as of the date of exercising the rights.

The Audit Committee will consider the incorporation of the proposed issue as an AGM agenda before proposing to the Board of Directors for consideration. The decision of the Board of Directors on such matter is deemed final.
The Company reserves the right to consider the proposals which are complete with comprehensive supporting documents, and are in accordance with the above criteria. The proposed issues must be beneficial to the Company and overall shareholders and in accordance with related rules and regulations.
